Terms of Use

These Terms of Use (“Terms”) govern your access to and use of recontx.com and any page served from it (the “Site”). The Site is operated by RecontX Inc., a California corporation (“RecontX”, “we”, “us”). By using the Site, you agree to these Terms. If you do not agree, do not use the Site.

1. What the Site is

The Site describes RecontX and the services we offer. It is provided for general information only. Nothing on the Site is professional, legal, or security advice for your particular situation, and nothing on the Site is an offer to provide services on particular terms.

2. Client engagements

Any services RecontX provides, including Assessments and Engagements, are governed solely by a separate written agreement signed by RecontX and the client, such as a master services agreement and statement of work. These Terms do not govern those services, and descriptions on the Site do not modify any such agreement.

3. Inquiries you send us

When you contact us through the Site, you agree to provide accurate information and to submit only information you are entitled to share. Please do not send confidential or proprietary information through the contact form. Unless and until we sign a confidentiality agreement with you, we are under no obligation to keep the content of an inquiry confidential, beyond the commitments in our Privacy Policy.

4. Acceptable use

You agree not to:

• use the Site in violation of any applicable law or regulation;
• attempt to gain unauthorized access to the Site, the systems that host it, or any data not intended for you;
• interfere with the Site’s operation, including by introducing malicious code or placing an unreasonable load on its infrastructure;
• submit spam, false information, or content that infringes anyone’s rights; or
• impersonate any person or misrepresent your affiliation with any organization.

5. Intellectual property

The Site and its content, including text, graphics, diagrams, logos, and the RecontX name, are owned by RecontX or its licensors and are protected by intellectual property laws. You may view and print pages for your own internal, non-commercial evaluation of RecontX. Any other copying, modification, distribution, or reuse requires our prior written consent.

6. Feedback

If you send us suggestions or feedback about the Site or our services, we may use them without obligation to you.

7. Disclaimer of warranties

The Site is provided “as is” and “as available”. To the fullest extent permitted by law, RecontX disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components, or that its content is complete or current.

8. Limitation of liability

To the fullest extent permitted by law, RecontX will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of the Site. Our total liability for any claim arising out of or relating to the Site or these Terms will not exceed one hundred U.S. dollars (US$100).

Some jurisdictions do not allow certain warranty disclaimers or limitations of liability, so some of the above may not apply to you.

9. Indemnity

You agree to indemnify and hold harmless RecontX and its officers, directors, and employees from any claims, losses, and expenses, including reasonable attorneys’ fees, arising out of your breach of these Terms or your misuse of the Site.

10. Third-party services

The Site is hosted by a third-party provider, and inquiries are processed through that provider’s form service. Your use of the Site is also subject to the lawful operation of those services. The Site contains no advertising and no links to third-party websites.

11. Governing law and venue

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in California, and you and RecontX consent to the personal jurisdiction of those courts.

12. Changes

We may update these Terms from time to time. The effective date at the top of this page shows when they were last changed. Your continued use of the Site after a change means you accept the updated Terms.

13. General

If any provision of these Terms is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver of it. These Terms are the entire agreement between you and RecontX regarding the Site.
